腾讯的大股东 Naspers 什么来头？ - 知乎首页知乎知学堂发现等你来答切换模式登录/注册腾讯非洲港股腾讯的大股东 Naspers 什么来头？[图片] Jacobus Petrus Bekker：非执行董事Jacobus Petrus Bekker，59岁，自二零一二年十一月十四日起出任非执…显示全部 关注者287被浏览340,407关注问题写回答邀请回答好问题 31 条评论分享11 个回答默认排序知乎用户南非Naspers投资腾讯获暴利400亿美元这里一篇资讯可以参考发布于 2014-02-22 17:29赞同 61 条评论分享收藏喜欢收起林飞成都衡泰工程管理有限责任公司 主任建筑师 关注6月27日，腾讯发布一则公告，其大股东Naspers集团将进行一项长期的回购计划，通过在场内出售腾讯股份的方式来筹集回购所需资金。市场的反应相当直接粗暴：一周内，Prosus上涨23%+；Naspers上涨26%+；而腾讯这边，“暴跌”7.76%，不得不说，腾讯实在是够稳的。具体的各类解读已经有很多了，笔者也没有太多新鲜观点，在好奇心的驱使下，我扒了扒Naspers集团的前前后后，发现了不少有意思的故事。这次我们就来聊聊这个神秘的Naspers集团，号称腾讯“守望者”的成就与困局。这些内容未必对当下投资腾讯有多大帮助，不过对于理解腾讯的历史，或者纯粹满足好奇心的角度，我还是打算拎出来简单聊聊，权当做一个资料积累。腾讯第一大股东，南非报业集团Naspers，在2001年6月，以3200万美元的代价，从李泽楷、IDG资本以及腾讯创始团队手中收购了46%的股权。经过上市摊薄以及过去的两次减持，截止目前还持有腾讯28.82%。按当前股价计算，折合市值约1250亿美元。21年3900倍，折合年化收益率约48.5%，神一样的收益率。今天就先来搞清楚这个“守望者”到底是谁，让我们一睹这位投资大神真容。谁是“守望者”翻开腾讯2021财报第73页，可以看到腾讯持股最多的股东名称是MIH TC，持有27.69亿股腾讯，占比约为28.82%。二股东是马化腾全资拥有的持股平台，只占8.38%，两者比例悬殊，按这个比例，大股东影响力举足轻重。这家举足轻重的大股东颇为低调，除了最近几次减持之外，我们平常看到的腾讯相关的消息中，几乎没有它的影子，它自身是干什么的？背后具体的操盘者是何人？对腾讯的历史有什么影响？对腾讯的未来又意味着什么？如此等等，这些问题成为我好奇心的起点，我们后面一个一个来解决。Naspers的股权关系首先，结合财报的信息和腾讯的公告，并且参考了唐朝老师在“唐书房”中的描述，我梳理出以下股权关系图。注：以上N股及A股数据为2018年数据，后文有最新数据。当时存在一个小疑问，就是腾讯的公告中说，Prosus是一间由Naspers拥有大多数股权的公司，那么老唐提到的N持有P股权比例为42%。这个数字是怎么得来的呢？于是我先在图上做了一个标记，下面就一步步来寻找答案。Naspers集团，是一家南非公司，中文名称叫做南非报业集团，其股票主要在南非约翰内斯堡交易所上市，是约翰内斯堡交易所十大指数成分股之一。此外，Naspers还有美国存托凭证（ADR）在伦敦交易所上市交易，同时也在美国的场外市场（OTC）交易。2019年3月底，Naspers将其持有的大量国际互联网投资打包分拆出来，装进新公司，成立“欧洲最大的上市消费互联网公司”Prosus。分拆出来的资产包括当时持有的腾讯31%股份，以及俄罗斯电邮服务http://Mail.ru、德国外卖平台 Delivery Hero、印度电商 Swiggy 等公司的股份。新公司Prosus于2019年9月在荷兰阿姆斯特丹泛欧交易所主要上市，并于南非约翰内斯堡证券交易所及A2X Markets二次上市。同时其美国存托凭证也在伦敦交易所及美国场外市场交易。Prosus上市之初，Naspers当时还持有其超过70%的股份。P上市之后，N与P两家公司还是共用一个董事会。所以实质上，其实就是同一拨人在管理这两家公司。但是，由于南非股市流动性差，而且Naspers就占了南非指数太高的比例，导致N与P之间的折价越来越大。为了减少两家公司折价，董事会决定增发P公司股票，同时回购N公司股票，从而让更多的股份在流动性更好的阿姆斯特丹交易所流通。结果，经过这些眼花缭乱的增发、回购，两家公司形成了复杂的交叉持股关系。总之，你中有我，我中有你，投资者根本傻傻分不清。到Prosus官网上，终于查到了两家的持股关系。Prosus公司总股本从2021年3月底的16亿股，变动到2022年3月底的20亿股。Naspers的持股比例也相应地变为42%。看到图片最右侧的42%了吗？答案就在这里。尽管持股数变少了，但是通过投票权的设计，Naspers仍然保持对Prosus的控制。至此，上述42%的持股关系的问题搞清楚了。接下来再说Naspers实控人的问题。Naspers的实控人Naspers的股本结构非常特殊。Naspers有两种股份，一种是在南非约翰内斯堡交易所上市的N股，目前尚在流通的普通股为2.17亿股（注释中可以看到有2.18亿股由Prosus持有。）另一种是非上市的A股，共96.1万股。两种股票的区别在于投票权与分红权不同，详见下表。简单来说，就是非上市的A股，控股不拿分红；上市的N股，只拿分红，没有控制权。显然，这种同股不同权的结构，是为了让实控人只要通过少量资本便将公司牢牢掌控在手。这种股权结构在互联网这类新技术公司大量存在，以免数轮融资之后，创始人的股权被过度摊薄。按投票权划分的Naspers股东结构相当复杂，存在大量的交差持股，下面这张图可以感受下，语言已经无法描述了。Naspers与另一家南非上市报业集团Caxton之间有直接的利益冲突，近几年来因为Naspers旗下报业资产的并购案一直对Naspers死缠烂打，多次提起诉讼，要求Naspers公布其持股结构及其实际控制人。上面这张图，便是Caxton 根据法庭要求Naspers必须公布的资料及其披露的年报等公开信息，制作的一张完整的Naspers持股结构图，时间大约是在2014年左右。跳过中间那些眼花缭乱的交叉持股细节，我们直接归纳一下：①60%以上的控制权，主要由三家公司持有：Nasbel，持有33.14%；Keerom，持有20.77%；Wheatfields，持有12.62%。即图中蓝色方框中三家公司。②这三家公司之间进行了极其复杂的相互持股，不仅如此，Naspers反过来还持有49%的Nasbel。③三家公司都有同一个股东Sholto公司，而这个公司的股东只有两名自然人：持股75%的Cobus Stofberg，和持股25%的Koos Bekker。即图中顶部红框中的两位。没错，库斯·贝克（Koos Bekker），即是Naspers的董事会主席，同时也是腾讯董事会的非执行董事。库斯·贝克（Koos Bekker）是Naspers发展史上的灵魂人物。Koos 1985年参与创办M-Net/ MultiChoice 南非收费电视，也是MTN无线电话业务的创办董事。“Bekker 领导MIH集团进行国际和互联网扩展，1997年成为Naspers的主要管理人员，任首席执行官，2014年辞去Naspers 首席执行官职务，2015年4月起任Naspers 的非执行主席。1997-2014年，在Koos 任职Naspers 首席执行官期间，Naspers 公司市值从6亿美元飙涨74倍，到450亿美元。在此期间，他没有工资，没有奖金，没有福利，主要靠期权激励获利。而2015年4月重返Naspers 任董事会主席和非执行董事后，董事袍金也都捐给了慈善项目。根据2019年福布斯非洲富豪榜和2018年福布斯全球富豪榜，Koos Bekker 排在南非第3名、非洲第8名和全球第924名，净资产24亿美元。2005年夏天，Koos 出售了超过70%他持有的Nasper N股股票。”另一位Cobus Stofberg，曾经是普华永道会计师事务所的前身 Coopers & Lybrand 合伙人，1986年参与创立南非付费有线电视台M-Net。1997-2001年担任MIH的CEO，就是Naspers旗下直接持有腾讯的那个MIH。Stofberg 拥有南非斯坦林布什大学商法学士和法学学士学位（与Bekker 是校友），阿德莱德南澳大学会计荣誉学士学位，同时也是一位注册会计师。Stofberg目前是Naspers的非执行董事。发布于 2022-07-12 15:55赞同 111 条评论分享收藏喜欢

Naspers的传奇故事 - 知乎首发于投资日记切换模式写文章登录/注册Naspers的传奇故事超股说理性、思考、探索...最近市场上最大的新闻莫过于这家Naspers（纳斯帕斯）公司对腾讯公司的减持，早在刚接触股市的时候，就觉得这是一家神秘的公司，为什么南非的一家公司，会持有我国最大互联网公司高达30%的股票。这其中的收益，也炒的沸沸扬扬，目前来看，这边投资收益，算的上是全球最成功的收益，2001-2021，20年涨了8000倍，而伯克希尔的投资，股价46年从19美元，上涨到84487美元，涨幅接近4500倍，所以Naspers算得上真正的传奇。带着这样的好奇心，搜索了这家神秘的公司，其实算得上一家很古老的南非公司，成立于1915年，已经有长达106年的历史，成立背景是在1014年12月一次会议上，一群荷兰民族人打算在南非成立一家出版公司，随后一直靠发行杂志De Huisgenoot来盈利。现任纳斯帕斯的主席叫库斯·贝克，在1970年南非一所大学学法律和文学，期间也担任学生报纸的班级，80年代获得哥伦比亚的MBA，在这个时候开始研究付费电视领域，毕业后，和同学一起在南非创办了一家付费电视公司。这家公司叫M-Net，成为了1986年除美国之外最要实现运营付费的公司之一，此后该项业务向全球扩展，在1985年时候其市值已经达到了500亿美元。随后1997年，在互联网泡沫的前夕，Naspers的技术团队同时成立即时通信工具Mweb，这是南非接入互联网的第一家公司，这在全世界都是非常领先，这比腾讯开发QQ软件还要提前一年，从这个角度来说，他们都有相同的基因和眼光。当然，后边的腾讯真的是太缺钱了。而这家公司已经走过接近一个世纪。后边，2001年Naspers投资腾讯的故事大家已经都耳熟能详，但其中Mweb的例子却说明了他在和腾讯做一样的事情，会有惺惺相惜的感情。还有，Naspers也是一家老牌子的传媒公司，互联网、通讯、传媒，我想这些基因正是区别于后来好多公司想超越腾讯，最后都失败而归。很多人都猜这是运气，我觉得冥冥之中存在某种必然，投资腾讯是Naspers最大的一笔投资，后期的投资也还有：2007年投资http://Mail.ru，俄罗斯的前5大互联网公司，同时也包含即时通讯ICQ；2016年持股Makemytrip，印度最大的线上旅游网站，后边还涉及印度外卖Swiggy、美国线上交易平台Letgo、旗下payU收购东南亚Red Dot Payment业务。当然，最让人敬佩的还是这样的投资，一投就是近20年，收益8000倍，相当于当初1万元的本金，在我国哪个城市都已经财务自由了。不过同向对比，茅台、万科、格力也都是这样的企业，伟大的都是时间，等待，再等待。最近因为工作的原因，好久都没有更新公众号，长时间不写，心里感觉也总是少些什么。虽然比较忙，但起码一周一篇的写作确实不该放弃，把一周内股市上发生的大事，自己冷静下来梳理梳理，会让自己有更多一层的思考，如果能够引起别人的共鸣，或者帮助到一些人，那就更好了。发布于 2021-04-11 11:06互联网公司互联网泡沫投资赞同添加评论分享喜欢收藏申请转载文章被以下专栏收录投资日记理性，思考，自由

Share buyback programmes
In June 2022, we launched an open-ended share repurchase programme of Naspers and Prosus shares. The programme is funded by the regular selling of small numbers of Tencent shares and is designed to efficiently unlock value for shareholders and increase net asset value (NAV) over time. The programme will continue for as long as the discount to our underlying NAV remains elevated.

We once again partnered with Street Store, a M&C Saatchi Abel initiative, to create a pop-up store experience for the homeless in our community. The event was held on Saturday, 10 February 2024 at The Salvation Army, Cape Town. Hundreds of people were given the opportunity to select clothes they not only needed, but wanted.
The day was filled with smiles and hugs as people were guided from hanger to hanger, finding their fit with a variety of clothes to choose from.
Thank you to the Superbalist, Razor PR and M&C Saatchi Abel teams who volunteered on the day.
Join us in making a lasting impact and spreading warmth and dignity by dropping off your pre-loved goods at our donation bins at the Richmond CT and New Road JHB Click + Collect Pickup Points.

This week, our social impact initiative, Naspers Labs, proudly flew the flag for digital skills empowerment by exhibiting at the National Youth Development Agency (NYDA) event in Cape Town. Our Naspers Labs team, joined by partners Afrika Tikkun Services and CAPACITI, shared information about the incredible opportunities within our Naspers Labs digital skills programme. At Naspers, we’re dedicated to enhancing the economic participation of young talent in the digital economy, and we support the government's initiatives to tackle youth unemployment in South Africa.
South African President Cyril Ramaphosa participated in a panel discussion, reflecting on the work of the Presidential Employment Stimulus and Youth Employment Intervention programmes. His urgent message to young people is to take bold action and seize the opportunities that come your way. He also called for continued collaboration between the private sector and government to empower young people.
